Terms of Use

The Terms Behind Your Subscription

What you agree to when you use Billtize, covering your account, licence, plans, fees, acceptable use, data, and how we both stay protected.

Plain terms for business software. Read them once, and know exactly where you stand.

1.Agreement to These Terms

These Terms of Use are a legal agreement between you and the team that operates Billtize. They govern your access to our websites and to the Billtize software, and they apply whether you are browsing, starting a free trial, or paying for a subscription.

Using Billtize means you accept these terms. If you are accepting on behalf of a business, you confirm you can bind that business, and references to "you" then mean that business.

If you do not agree, do not create an account or use the software. These terms work alongside our Privacy Policy, which explains how we handle the information involved.

Billtize is business software. It is intended for users who can enter a binding contract under the law of Nepal and who are 18 or older.

2.Meaning of Key Terms

The company and team that operate the Billtize product and our websites.

3.Your Billtize Account

You are responsible for your Account and for everything done under it.

  • Give us accurate, current details when you register, and keep them up to date, including your company name, PAN or VAT number, and billing contact.
  • Keep your login credentials secret. Do not share a password, and do not let anyone use your session.
  • Manage your own Users. Add people as they join, remove them when they leave, and set roles and permissions so each person reaches only the modules, warehouses, and branches their job needs.
  • You are liable for the acts and omissions of every User you invite, including whether their use of the Service follows these terms.
  • Tell us promptly if you believe your Account has been accessed without permission. We can help secure it, but we cannot undo transactions your Users posted.

One login can run multiple companies. Each company you create is treated as part of your Account and follows the same rules.

4.What We Licence to You

Subject to these terms and to your payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own internal business operations during your Subscription term.

That right is a licence to use, not a sale. Anything not stated here is reserved to us.

You may

  • Use Billtize to run your own accounting, billing, inventory, and reporting.
  • Let your authorised Users work in your Account.
  • Export your records, and engage your accountant or adviser to work in your Account on your behalf.
  • Use the API access provided in Developer Mode to integrate systems you own or operate, within any usage limits we set.

You may not

  • Sell, resell, sub-license, rent, lease, or otherwise make the Service available to a third party as your own product, including a managed-service or white-label offering, without a written agreement with us.
  • Copy, modify, translate, or create a derivative work of the software, or reverse engineer, decompile, disassemble, or attempt to derive its source code, except where law forbids this restriction.
  • Rent, host, or mirror the Service so others can use it remotely, or run a service bureau on it.
  • Remove, obscure, or alter our notices, branding, or trademarks.
  • Use another customer's login, or share credentials across businesses that have not licensed the Service.

5.Free Trial, Plans, and Subscription Term

New accounts get a 30-day free trial without a credit card. The trial includes the full software, so you can evaluate it with your own data.

Paid plans are sold in fixed terms, as listed on our pricing page. Your Subscription starts when we confirm activation and ends at the close of the term you bought, unless you renew.

  • Trial accounts are for evaluation. We may limit or close an account that abuses a trial, such as by opening repeated trials for the same business.
  • When a trial or Subscription ends without renewal, you and your Users can no longer open that organization, and its API access stops. We keep its data for a reasonable period so you can renew and pick up where you left off.
  • Subscriptions do not renew automatically. We email the organization's owner about two weeks before the term ends, and again when it ends.
  • Custom or Enterprise arrangements are governed by the specific order or agreement you sign with us. Where that document conflicts with these terms, it prevails for that engagement.

6.Fees, Taxes, and Payment

  • Prices are in Nepali Rupees and are shown on our pricing page. The price on the day you order is the price you pay for that term.
  • Applicable VAT is added to the listed price, as shown on the pricing page.
  • Payment is due in advance for the term ordered, using the payment details our team gives you. Your Subscription is activated once payment is confirmed.
  • Fees for a Subscription term are non-refundable except where these terms, a written agreement, or law requires a refund. We decide goodwill refunds case by case.
  • Hardware bought separately, such as barcode scanners or thermal printers, is billed and supported under its own order terms.
  • Amounts owed remain owed even if you stop using the Service.

If payment fails or an amount becomes overdue, we will tell you and give you a chance to fix it. Persistent non-payment lets us restrict or suspend access until the account is settled.

We may change our prices for future terms. We will give notice before a change applies to you, and a change will not alter the price of a term you have already paid for.

7.Acceptable Use

You agree to use Billtize lawfully and not to do any of the following:

  • Use the Service for anything illegal in Nepal, or for a business the Service is being used to disguise.
  • Issue invoices, credit notes, or records you know to be false, or manipulate entries to misstate tax liability.
  • Submit another business's transactions under your taxpayer credentials, or use your CBMS connection for an entity that has not authorised you.
  • Enter personal data about individuals you have no lawful right to process, or process staff or customer data without telling them.
  • Upload malware, attempt to gain access beyond your permissions, probe or scan for weaknesses, or interfere with another customer's account or our infrastructure.
  • Overload the Service by automated means, use our APIs beyond reasonable or published limits, or scrape content from our websites.
  • Send messages through Billtize features, such as invoice emails or scheduled alerts, to people who did not ask for them.
  • Add websites to Market Insights that you are not allowed to monitor, or use it to collect anything other than public product and price information.
  • Post content that is unlawful, defamatory, harassing, or infringing in transaction notes, descriptions, attachments, or reports.
  • Use Billtize to store or transmit anything unrelated to running your business.

Breaching this section is serious. It can lead to restriction or termination of access without refund, and we may report unlawful activity to the authorities.

8.Your Data and Content

You own your Account Data. Nothing in these terms transfers ownership of your records to us.

By using the Service you give us the limited licence we need to hold, host, back up, process, transmit, display, and protect that data so we can deliver the features you use, and to comply with legal obligations.

That licence ends when you stop using the Service, except where we are permitted to keep a copy for a short period in backups, to resolve a dispute, or because Nepali law requires records to be retained.

Your responsibilities for Account Data

  • You are responsible for its accuracy, completeness, and lawfulness, including VAT and PAN details on documents you issue.
  • You are responsible for having the right to process any personal data your customers, suppliers, or staff appear in the records.
  • Keep your own export if you want independent storage. Billtize makes reports and lists exportable to Excel, and we will help with a broader extract on request.
  • Deleting an Account Data record inside Billtize follows your audit trail and period-lock settings; deletion is not always permanent within your own books, which is deliberate.

We do not review your Account Data as a matter of routine, and we do not sell it. See our Privacy Policy for what we do collect and why.

9.IRD CBMS and Statutory Compliance

When IRD CBMS sync is on for your organization, Billtize sends your approved invoices and sales credits to the Inland Revenue Department's CBMS and shows the status of each submission, so you can retry any that fail.

Our team switches IRD sync on for an organization on request. You then enter your own IRD taxpayer login in Billtize, and we store it encrypted.

It is a compliance tool, not a compliance guarantee. Responsibility for meeting your obligations stays with you:

  • You supply your own IRD taxpayer credentials and authorise us to transmit your sales data against them.
  • You are responsible for the correctness of the transactions you approve for submission, and for registering, filing, and paying the right amounts.
  • Once IRD sync is on, approved invoices and sales credits cannot be edited, and invoices and sales credits cannot be deleted. Mistakes are corrected with a sales credit, as e-billing rules expect.
  • VAT Summary, Annex 13, and the sales and purchase registers are generated from your records. If your entries are wrong, the reports will be wrong.
  • Where CBMS, IRD directives, or the tax law change, our software may need to change too. We work to keep up, but we do not control those rules or their timelines.
  • Failed or rejected submissions must be resolved by you. Retries are available in the product for that reason.

10.Not Accounting, Tax, or Legal Advice

Billtize gives you software, reports, and information. It does not give you professional advice, and the content on this website, our blog, and inside the product is not accounting, tax, investment, or legal advice.

No relationship is created between you and Billtize, or any of our staff, as a chartered accountant, auditor, tax adviser, or lawyer. Check any decision that affects your books or filings with a qualified professional before you act on it.

11.Support, Updates, and Availability

Support is included with your Subscription. Reach us through our contact page, by phone, or by email during our stated business hours, and we will help with the features you are entitled to use.

  • We may update, add, or remove features and modules over time so the Service keeps improving. We aim not to remove a capability you rely on without notice, but the Service evolves and exact functionality can change.
  • We do not promise to keep older versions or a specific screen layout available.
  • We target reasonable availability and run automated backups, but the Service is provided on a commercially reasonable basis and may be unavailable for maintenance, incidents, or causes outside our control.
  • Scheduled maintenance is announced in the product or by email where we can. Emergency maintenance to protect security or availability may happen without notice.
  • Requests beyond standard support, such as custom module development, migration work, or dedicated onboarding, are handled under a separate written agreement.

12.Confidentiality

Each side may learn information the other treats as confidential. The receiving party protects it with the same care it uses for its own, and uses it only for the purpose it was shared for.

  • Your Account Data is treated as your confidential information, subject to the handling described in our Privacy Policy.
  • The software behind Billtize, its design, roadmaps, and pricing not published on this site are ours.
  • We may collect technical and usage data, such as feature telemetry, device details, and error reports, to keep the Service running, support customers, and improve the product.
  • Confidentiality does not apply to information that is already public, was already known, arrives independently, or must be disclosed by law.

13.Intellectual Property

We keep all right, title, and interest in the Service and the Platform: the software, our name, the Billtize marks and logo, layout, text, images, and the way features are designed and presented. All rights not expressly granted here are reserved.

Nothing in these terms grants you a right to use our trademarks, and nothing lets you apply for, register, or claim rights in a mark, domain, or name that is confusingly similar to ours.

You keep ownership of your Account Data. If you send us feedback, ideas, or suggestions, we may use them in the product without obligation or payment to you, because improving Billtize from customer input is how it gets better.

14.Suspension and Termination

You may stop using Billtize at any time. A Subscription runs to the end of the term you paid for.

When we may suspend or close access

  • You breach these terms, especially the acceptable use rules in section 7.
  • Payment for a Subscription term is not made, or a charge is reversed without a valid reason.
  • We reasonably believe your Account is compromised, is being used to harm the Service or another customer, or exposes us to legal risk.
  • We are required to by a court, regulator, or authority, including the Inland Revenue Department.

Where we can, we will tell you what went wrong and give you a chance to fix it before we restrict access, and we will keep the restriction no wider or longer than the problem needs.

What happens when it ends

  • Your right to use the Service stops, and Users lose access.
  • Unpaid fees become due immediately.
  • We keep Account Data for a reasonable period after termination. During that time you can ask us for an export of your records, and after it we delete or anonymise the data in line with our Privacy Policy.
  • Clauses that are meant to survive do: ownership of your data and our IP, confidentiality, disclaimers, limitation of liability, indemnity, and governing law.

15.Disclaimers

The Service and this website are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent the law allows.

Without limiting that, we do not warrant that:

  • the Service will be uninterrupted, timely, secure, or free of errors or defects;
  • defects will be corrected;
  • the Service will produce any particular accounting, tax, or business outcome;
  • CBMS submissions will be accepted on every attempt, since acceptance is decided by IRD systems;
  • third-party services we connect to, such as IRD CBMS, Daraz, or FonePay, will always be available;
  • information from third-party sources is accurate, such as competitor prices in Market Insights or order and stock data from Daraz.

You are responsible for your own records, filings, and business decisions, and for verifying anything before you rely on it. Some Nepali law may not allow certain disclaimers, so they may not fully apply to you.

16.Limitation of Liability

Billtize is not liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for lost profits, revenue, data, goodwill, business opportunity, or cost of substitute services, even if we were told a loss like that could happen.

Subject to the carve-outs below, our total liability arising out of or relating to these terms is limited to the total fees you paid to us for the Subscription term in which the claim arose.

These limits do not exclude or limit liability that Nepali law does not allow to be limited, including liability for fraud or wilful misconduct, for death or personal injury caused by negligence, and any other liability that cannot lawfully be excluded. Where liability cannot be excluded, our limits apply only as far as the law permits.

17.Indemnity

You agree to defend, indemnify, and hold harmless Billtize, its people, and its affiliates from claims, demands, damages, liabilities, costs, and reasonable legal fees arising out of:

  • your use of the Service, including use by anyone you give access to;
  • a breach of these terms, including the acceptable use rules;
  • your Account Data, or content you submit, including a claim by a customer, employee, supplier, or authority about how it was collected, recorded, or disclosed;
  • your tax filings, registrations, payments, or CBMS submissions;
  • a violation of any law or of another party's rights by you or your Users;
  • hardware you buy from us or use with the Service, where the claim is about that hardware.

We will tell you about a claim we indemnify against, you may choose counsel we reasonably accept, and you cooperate with us in defending it.

18.Governing Law and Disputes

These terms are governed by and interpreted under the laws of Nepal, without regard to conflict-of-law rules.

If a dispute arises, the parties first try to resolve it in good faith. Raise the issue with us in writing through our contact page and give us a reasonable chance to respond. If it cannot be settled that way, the dispute goes to the competent courts of Nepal, unless both sides agree to refer it to arbitration under the Arbitration Act, 1999 (2055 BS).

Nothing in these terms stops either party from seeking urgent injunctive relief to protect its confidential information or intellectual property.

19.General Provisions

  • Entire agreement: these terms, together with our Privacy Policy and any signed order or Enterprise agreement, are the whole agreement about the Service and replace earlier discussions, proposals, and understandings.
  • Relationship: the parties are independent businesses. Nothing here creates a partnership, joint venture, agency, employment, or franchise, and neither side can bind the other.
  • Assignment: you may not assign or transfer these terms or the licence without our written consent, except to a successor in a merger or sale of the business we are told about. We may assign them in a restructuring or business transfer.
  • Severability: if a provision is held invalid or unenforceable, it is narrowed or removed and the rest of the terms keep applying.
  • Waiver: if we do not enforce something, that is not a waiver of it. A waiver is effective only in writing.
  • Notices: we may send notices to the email or phone on your Account, in the product, or by posting on this website. You send notices to us through our contact page.
  • Force majeure: neither side is liable for a delay or failure caused by events beyond its reasonable control, including natural disaster, fire, flood, epidemic, war, civil unrest, strike, embargo, power or internet failure, telecom outage, cloud provider failure, government or IRD action, or change in law.
  • Third-party services: where the Service connects to another system, such as IRD CBMS, Daraz, or FonePay, that system's own terms apply to the data and actions that pass through it.
  • No third-party beneficiaries: these terms are for you and us only.

20.Changes to These Terms

We may update these terms as the product, our plans, or Nepali law change. The date at the top of this page shows the current version, and the version published at this URL is the one that applies.

For a material change, we will give notice before it takes effect, by email or in the product where we are able to reach you. If you disagree with a change, stop using the Service; continuing to use it after the change takes effect means you accept it.
